2. Prohibited Uses
The Licensee agrees that they shall not:
a. Commercial Use: Use the Course Materials for any commercial purpose, including but not limited to selling, licensing, or distributing the materials in any form.
b. Redistribution: Share, distribute, or make available the Course Materials to any third party without prior written consent from the Licensor.
c. Modification: Alter, adapt, or create derivative works based on the Course Materials without express permission from the Licensor.
d. Public Display: Present or display the Course Materials in public forums or settings without explicit authorization from the Licensor.
3. Personal Use Definition
For purposes of this agreement, “personal use” is defined as using the Course Materials solely for individual study and learning without any intent to profit or share with others.
4. Enforcement and Remedies
The Licensor reserves the right to enforce these prohibitions through legal means and may seek remedies including but not limited to injunctive relief and damages in case of breach by the Licensee.
By accepting this agreement, the Licensee acknowledges understanding and agreeing to these terms regarding the use of Course Materials.
Section 2: Prohibition on Economic Use of Third-Party Technology
1. Purpose of the Provision
This section outlines the restrictions placed on the Licensee regarding the use of third-party technology provided under this agreement. The intent is to protect the proprietary interests of the Licensor and ensure that the technology is not exploited for economic gain beyond the scope defined in this agreement.
2. Definition of Economic Purposes
For the purposes of this agreement, “economic purposes” shall include, but not be limited to, any activities that generate revenue, profit, or financial gain directly or indirectly from the use of the third-party technology. This includes commercial applications, resale, licensing to third parties, or any form of monetization.
3. Prohibited Activities
The Licensee agrees not to engage in any of the following activities with respect to the third-party technology:
a. Commercial Exploitation: The Licensee shall not use the third-party technology for any commercial purpose, including but not limited to selling products or services that incorporate said technology.
b. Resale and Redistribution: The Licensee shall not sell, lease, sublicense, or otherwise distribute access to the third-party technology to any other party for economic gain.
c. Modification: Alter, adapt, or create derivative works based on the Course Materials without express permission from the Licensor.
d. Public Display: Present or display the Course Materials in public forums or settings without explicit authorization from the Licensor.
4. Consequences of Violation
Any violation of this prohibition will result in immediate termination of this licensing agreement and may subject the Licensee to legal action for damages incurred by such unauthorized use. The Licensor reserves all rights to seek injunctive relief and pursue claims for damages as permitted by law.
5. Acknowledgment
By signing this agreement, the Licensee acknowledges understanding and acceptance of these terms regarding prohibited economic uses of third-party technology.
